Terms of Service – Lancer Cloud Communication Hub

1. Service Description

Lancer Cloud provides installation, configuration, and maintenance services for a communication centralization platform (based on the Chatwoot software) that connects the client’s Facebook and Instagram messaging accounts to a unified dashboard. The service consists of integration and technical support, not the provision of the underlying software itself.

2. Client Responsibilities

  • The Client shall, at all times, maintain ownership and control of their Meta accounts (Facebook and Instagram).
  • The Client is solely responsible for the content of conversations and responses sent to their end-users.
  • The Client must comply at all times with Meta’s Platform Terms and Developer Policies.
  • The Client agrees not to use the service for activities considered spam, unauthorized marketing, or any unlawful purpose.

3. Authorization

By connecting their Meta accounts, the Client authorizes our service to access messages, profile information, and other data necessary for the provision of the service, as described in our Privacy Policy.

4. Data Processing

We act as a “Data Processor” on behalf of the Client. The Client remains the “Data Controller” and is solely responsible for complying with applicable data protection laws and for obtaining consent from their end-users.

5. Service Availability

We will make commercially reasonable efforts to keep the service operational. However, we do not guarantee uninterrupted service, as availability depends on factors beyond our control, such as the operational status of Meta’s APIs, the performance of the Client’s hosting provider, and the functionality of the Chatwoot software. We are not liable for interruptions caused by these third parties.

6. Termination

The Client may request the disconnection of their accounts at any time. Upon termination of the service, we will delete the configuration data from our platform within 30 days. The deletion of data from the Client’s Chatwoot instance shall be the Client’s responsibility.

7. Limitation of Liability

  • “As Is” Service: The service is provided “as is,” without warranties of any kind, either express or implied. We do not warrant that the service will meet all of the Client’s requirements or that its operation will be completely error-free.
  • Third-Party Dependency: We shall not be liable for any damage, data loss, or service interruption resulting from the failures, changes, or decisions of third parties, including, but not limited to, Meta (Facebook, Instagram), the Client’s hosting provider, or the Chatwoot software.
  • Client Content and Actions: We are not responsible for any consequences arising from the Client’s use of the service, including the suspension or termination of their Meta accounts for violating Meta’s policies.
  • Indirect Damages: In no event shall Lancer Cloud be liable for any indirect, special, incidental, or consequential damages (including loss of profits, revenue, or data) arising from the use of our service, even if we have been advised of the possibility of such damages.
  • Maximum Liability Cap: In the event that Lancer Cloud is found liable for any damages, our total and aggregate financial liability shall not exceed the total amount paid by the Client to us for the services during the three (3) months immediately preceding the event giving rise to the claim.

8. Indemnification

The Client agrees to indemnify and hold harmless Lancer Cloud, its employees, and directors, from and against any claims, losses, or demands (including attorneys’ fees) arising out of the Client’s misuse of the service or their violation of these terms or Meta’s policies.
